BELLA'S BREAD, LLC — TERMS OF SERVICE

Effective Date: July 21, 2026

1. General Agreement & Website Usage

1.1 Scope of Contract

Welcome to Bella’s Bread, LLC ("Bella's Bread," "we," "our," or "us"). By accessing our online platform, submitting an order, or receiving our goods, you ("Customer," "you," or "your") enter into a binding contractual agreement governed by these Terms of Service ("Terms").

1.2 Consent

Engaging with our digital storefront or finalizing a transaction indicates your full acceptance of these terms. If you object to any part of this document, you must discontinue use of our site and refrain from purchasing our items.

1.3 Minimum Age Requirements

Purchases must be made by individuals who are at least eighteen (18) years old and possess the legal authority to execute contracts. Minors under eighteen may browse our platform only under the direct supervision of a parent or guardian, but they are prohibited from placing orders.

1.4 Term Revisions

We maintain the authority to adjust or replace these Terms whenever necessary. Updated versions become binding as soon as they are published online with a revised effective date. Your continued orders or site visits following an update signal your agreement to the new terms.

1.5 System Operations

We provide our online portal on an "as-is" basis without warranties of constant uptime, security, or error-free performance. We bear no liability for temporary server outages or site maintenance.

2. Legal Structure & Utah Cottage Food Declarations

2.1 Enterprise Operations

Bella's Bread, LLC operates out of a private residential kitchen located in Utah, focusing on freshly baked artisan products such as sourdough and zucchini loaves. Every item we produce falls under the legal definition of a homemade food product within Utah state law.

2.2 Compliance with Utah Code (Homemade Food Act)

Our business operates pursuant to the Utah Home Consumption and Homemade Food Act (Utah Code Title 4, Chapter 5a, as amended, including SB 217). Under this statute, Bella’s Bread is exempt from standard state, county, and municipal licensing, health inspections, permitting, and standard packaging or labeling rules, provided our sales remain direct-to-consumer within Utah for non-commercial use.

2.3 MANDATORY CONSUMER NOTICE

NOTICE TO PURCHASER: PRODUCTS SOLD BY BELLA'S BREAD ARE PREPARED IN A PRIVATE HOME KITCHEN. THEY ARE NOT REGULATED, INSPECTED, CERTIFIED, OR LICENSED BY THE STATE OF UTAH OR ANY LOCAL HEALTH DEPARTMENT.

2.4 Mandatory Label Disclosures

Pursuant to state requirements, all product packaging includes:

  • The      baker's business identity and residential operating address.
  • A      explicit declaration stating the item is processed without state/local      regulatory inspection and is strictly not for retail resale.
  • Allergen      notifications detailing the presence or potential cross-contamination of      major allergens (milk, eggs, wheat, soy, peanuts, tree nuts, fish,      shellfish).

2.5 Statutory Distribution Rules

Under Utah law:

  • Goods      may only be acquired directly by an informed final consumer—an      individual who buys directly from us for personal use, understands the      lack of government inspection, and agrees not to resell the product.
  • Products      cannot be supplied to, resold by, or served in commercial dining venues,      cafes, or grocery outlets.
  • All      production and transfer of goods must take place strictly inside Utah      state boundaries.

2.6 Local Licensing

While exempt from standard food inspections under the Act, Bella's Bread holds an active business license pursuant to Utah Code § 10-1-203.

3. Purchasing & Sale Restrictions

3.1 Product Crafting & Artisanal Variations

We strive for precision in our web descriptions, ingredient lists, and media uploads. However, because our baked goods are handcrafted in small batches, natural variations in shape, crust pattern, color, and sizing will occur and do not constitute defective merchandise.

3.2 Ordering Protocol

To finalize a purchase, you must:

  1. Select      items via our web portal.
  2. Provide      valid in-state delivery and contact information.
  3. Review      order details for accuracy.
  4. Complete      full payment upon checkout.

3.3 Acceptance of Orders

Submitting an order represents an offer to purchase. Contracts are finalized only upon our issuance of an electronic order confirmation. We reserve absolute discretion to decline or cancel any order for reasons including inventory shortfalls, pricing errors, fraudulent activity, or jurisdictional limits under state law.

3.4 Rates & Product Availability

All listed prices are in U.S. Dollars (USD) and exclude delivery charges, which are calculated prior to payment. Prices and stock levels are subject to modification without notice.

3.5 Strictly In-State Sales

Pursuant to Utah law, we cannot accept orders for shipment outside the State of Utah. Orders requesting fulfillment outside state borders will be automatically canceled.

3.6 Buyer Representations

By completing a checkout, you confirm that:

  • You      are an informed end-user purchasing solely for home consumption.
  • You      will not sell or commercially transfer any items.
  • You      acknowledge our home-based, uninspected status.

4. Financial Terms & Taxes

4.1 Payment Options

We accept standard payment methods including major credit/debit networks (Visa, Mastercard, Discover, Amex) and designated digital wallets (e.g., Apple Pay, PayPal) as offered during checkout.

4.2 Charge Authorization

Full payment is required at checkout prior to baking. By providing financial details, you grant permission to charge the complete order value, including applicable delivery fees, to your designated payment account.

4.3 Data Handling

Payment details are processed through secure, PCI-compliant payment gateways. Bella's Bread does not store complete payment card credentials on its servers.

4.4 Errors in Pricing

In the event of an obvious mispricing on our storefront, we retain the right to cancel affected orders. We will notify you and issue a full refund rather than fulfilling orders at incorrect price points.

4.5 Sales Tax Exemption

Pursuant to Utah Code § 59-12-104 (as amended by SB 217), direct sales of qualifying homemade food products under the Act are exempt from Utah state sales tax. Should statutory tax obligations change, applicable levies will be reflected at checkout.

4.6 Processing Refunds

When approved, refunds are returned to your original payment method. Allow 5–10 business days for funds to post, depending on your banking provider.

5. Delivery & Customer Pickups

5.1 In-State Boundary Limits

Fulfillment is strictly limited to locations within the State of Utah.

5.2 Delivery Options

  • Direct      Local Delivery: Available within a 60-mile radius for qualifying      orders. Rates are dynamic based on distance.
  • Direct      Pickups: Available at designated locations (e.g., our home setup or      approved local farmers markets) by mutual arrangement.
  • Local      Couriers: Third-party local delivery services may be utilized for      selected local routes.

5.3 Preparation Lead Times

Because our breads are baked fresh without preservatives, standard turnaround is a few business days from order placement. Delivery windows are estimates and may shift due to weather conditions or order volume.

5.4 Perishability Responsibility

Our products lack artificial shelf-life extenders. You must be present to receive your delivery or retrieve your pickup promptly. We are not liable for quality degradation resulting from unattended drops or delayed pickups.

5.5 Accurate Contact Details

You are responsible for supplying complete drop-off details (gate codes, delivery notes, phone numbers). We hold no responsibility for ruined product resulting from inaccurate address submission.

5.6 Transfer of Risk

Ownership and risk of loss transfer to you upon drop-off at your designated delivery site or upon hand-off during a scheduled pickup.

6. Adjustments, Cancellations, & Refunds

6.1 Fresh Goods Policy

Because our products are highly perishable fresh food items, we do not accept standard returns or exchanges once items leave our control.

6.2 Qualifying Refund Circumstances

We will review requests for replacement or store credit/refunds if reported within 24 hours of receipt under these circumstances:

  • Severe      Damage: Goods arrived crushed or inedible (photo evidence required).
  • Misfill:     You received items substantially different from your order confirmation.
  • Core      Defect: Significant issues existing at delivery (e.g., mold,      underbaking; photo required).

6.3 Excluded Claims

Refunds will not be granted for:

  • Preference      shifts or buyer's remorse.
  • Taste      or visual variations natural to artisan baking.
  • Items      damaged due to failure to follow proper storage guidelines.
  • Unclaimed      or unattended drop-offs.
  • Claims      made after the 24-hour window.

6.4 Claims Process

Submit claims within 24 hours to bellasbreadllc@gmail.comor 385-240-2782 with your order number, photo documentation, and issue details. Approved claims are processed within two business days.

6.5 Order Cancellations

Orders may be canceled for a full refund prior to the start of baking. Once ingredient preparation has commenced, orders cannot be canceled or refunded.

7. Health, Allergens, & Care Disclaimers

7.1 Kitchen Operations Notice

ALL PRODUCTS ARE PRODUCED IN A RESIDENTIAL KITCHEN THAT HAS NOT BEEN INSPECTED, CERTIFIED, OR REGULATED BY GOVERNMENT HEALTH OFFICIALS.

7.2 Allergen Exposure Warning

Our home facility processes items containing milk, eggs, wheat, soy, peanuts, tree nuts, fish, and shellfish. Cross-contamination can occur. CONSUMERS WITH SEVERE FOOD ALLERGIES ASSUME ALL RISKS AND SHOULD EXERCISE EXTREME CAUTION.

7.3 Use of the Term "Organic"

When certain ingredients or products are identified as organic, such claims are made under the federal Organic Foods Production Act small-producer exemption (7 C.F.R. § 205.101) for operations grossing under $5,000 annually in organic sales. We do not display or claim official USDA Organic certification seals.

7.4 Handling & Storage Guidelines

To maintain quality:

  • Sourdough:     Consume within 3–5 days. Store at room temperature in a paper bag or bread      box. Freeze sliced loaves for up to 3 months.
  • Zucchini      Bread: Consume within 3–5 days at room temperature in an airtight      container, or refrigerate up to 7 days.
  • General:     Avoid plastic bags at room temperature to prevent premature moisture      accumulation and mold.

8. Responsibility Limits & Indemnification

8.1 Damages Cap

TO THE MAXIMUM EXTENT PERMITTED BY UTAH LAW, THE TOTAL FINANCIAL LIABILITY OF BELLA'S BREAD, LLC, ITS MEMBERS, AND AGENTS FOR ANY LEGAL CLAIM ARISING FROM OUR PRODUCTS OR WEBSITE SHALL NOT EXCEED THE TOTAL PURCHASE PRICE PAID BY YOU FOR THE ORDER IN QUESTION.

8.2 Exclusion of Indirect Losses

BELLA'S BREAD, LLC SHALL NOT BE HELD LIABLE FOR INDIRECT, SPECIAL, INCIDENTAL, OR CONSEQUENTIAL DAMAGES—INCLUDING ADVERSE HEALTH EFFECTS OR ALLERGIC REACTIONS—EXCEPT IN CASES OF OUR GROSS NEGLIGENCE OR INTENTIONAL MISCONDUCT.

8.3 Buyer Assumption of Risk

You explicitly acknowledge the inherent risks associated with consuming home-baked goods prepared in uninspected kitchens exempt from standard government health inspections.

8.4 Indemnity

You agree to defend, indemnify, and hold harmless Bella's Bread, LLC from any liabilities, costs, or claims (including legal fees) arising from your breach of these Terms, illegal reselling of our products, or misrepresentations of your status as an informed consumer.

9. Proprietary Rights & Site Content

9.1 Intellectual Property

All media, text, graphics, branding, and web design on our site are the exclusive property of Bella's Bread, LLC protected under United States copyright and trademark laws. Unauthorized copying, scraper use, or commercial distribution of site content is strictly prohibited.

9.2 Recipes & Techniques

Our formulas, operational workflows, and baking techniques remain proprietary trade information.

9.3 Consumer Submissions

Any reviews, comments, or photos shared with us grant Bella's Bread, LLC a non-exclusive, worldwide, royalty-free license to use, publish, and display the content for promotional purposes.

10. Legal Jurisdiction & Dispute Resolution

10.1 Utah Governing Law

These Terms are governed by and construed in accordance with the internal laws of the State of Utah, without regard to conflict-of-law principles.

10.2 Mandatory Informal Resolution

Before filing formal legal actions, you agree to contact us directly to attempt an informal, good-faith resolution. If unresolved after 30 days, formal proceedings may commence.

10.3 Dispute Escalation (Mediation & Arbitration)

  • Mediation:     Unresolved disputes shall first be submitted to non-binding mediation in      Salt Lake County, Utah, with costs shared equally.
  • Arbitration:     If mediation fails, disputes will be settled via binding individual      arbitration administered by the American Arbitration Association (AAA) in      Salt Lake County, Utah.

10.4 Class Action Waiver

YOU AGREE TO RESOLVE ALL DISPUTES INDIVIDUALLY AND WAIVE ANY RIGHT TO INITIATE OR JOIN CLASS ACTION LAWSUITS OR REPRESENTATIVE PROCEEDINGS AGAINST BELLA'S BREAD, LLC.

10.5 One-Year Claim Deadline

ANY LEGAL CLAIM CONCERNING THESE TERMS OR OUR GOODS MUST BE FILED WITHIN ONE (1) YEAR OF THE INCIDENT ACCRUAL DATE OR BE PERMANENTLY BARRED.


11. Final Provisions

11.1 Severability

If any single provision of these Terms is deemed unlawful or unenforceable by a court, that provision will be adjusted to reflect original intent or severed, leaving the remainder of the Terms fully enforceable.

11.2 Whole Agreement

This document forms the complete agreement between you and Bella's Bread, LLC regarding purchases and site usage, replacing all prior communications or drafts.

12.0 Catering Services


In addition to retail bread and baked goods, Bella's Bread offers catering services upon request. Catering services may include, but are not limited to, breads, meats, vegetables, cutlery, desserts, pastas, and other food and service items as mutually agreed upon between Bella's Bread and the customer ("Catering Order").


Booking and Confirmation. All Catering Orders are subject to availability and must be confirmed in writing (via email or signed order form) prior to the scheduled event. The order confirmation, including menu items, quantities, pricing, and event details, forms part of these Terms.


Payment. A deposit may be required to secure a catering date, with the remaining balance due according to the schedule outlined in the order confirmation. Failure to remit payment as agreed may result in delay or cancellation of services.


Cancellations and Changes. Cancellation or modification requests must be submitted in writing at least [X] days prior to the event date. Cancellations made after this window may be subject to a cancellation fee or forfeiture of deposit, as specified in the order confirmation. Bella's Bread reserves the right to cancel or reschedule a Catering Order due to circumstances beyond our control (e.g., illness, severe weather, or supply shortages), in which case the customer will be notified promptly and offered a refund or rescheduled date.


Substitutions. Menu items and ingredients are subject to seasonal availability. Bella's Bread reserves the right to substitute ingredients or menu items of comparable quality as needed, with reasonable efforts made to notify the customer of significant changes.


Equipment and Rental Items. Where cutlery, serving equipment, or other rental items are provided as part of a Catering Order, such items remain the property of Bella's Bread (or its rental partner) and must be returned in the condition provided, less normal wear. The customer may be charged for lost, damaged, or unreturned items at replacement cost.


Liability for Catered Events. Bella's Bread is not responsible for injuries, damages, or losses arising from the event venue, third-party vendors, or circumstances outside our direct control. Once food is delivered or set up at the event, proper handling, storage, and serving temperature become the customer's or venue's responsibility.
